Access Philanthropy Terms of Use

These Terms of Use (“Terms”) govern access to and use of the website located at https://accessphilanthropy.com or https://www.accessphilanthropycharities.org and any related pages, content, forms, or services made available by Access Philanthropy (“Access Philanthropy,” “Access Philanthropy Charities,” “Company,”  “we,” “us,” or “our”) (collectively, the “Site”).

These Terms constitute a binding agreement between you (“User,” “you,” or “your”) and Access Philanthropy.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

  1. Use of the Access Philanthropy Sites.

The Site includes all webpages, materials, submission forms, and services made available by Access Philanthropy, whether publicly accessible or provided through restricted access links.

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into these Terms.

Subject to these Terms, Access Philanthropy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for lawful purposes.

You agree that you will not:

(a) Use the Site in violation of any applicable law or regulation;

(b) Access or attempt to access any portion of the Site that is not intended for you;

(c) Interfere with or disrupt the operation, security, or integrity of the Site;

(d) Use any automated means, including robots, scrapers, or data mining tools, to access the Site;

(e) Take any action that imposes an unreasonable or disproportionately large load on the Site infrastructure.

  1. Access to Restricted Pages

Certain portions of the Site may be made available only through direct link, limited distribution, or other controlled access mechanisms, including but not limited to client reporting pages and submission portals (“Restricted Pages”).

You acknowledge and agree that you will not:

(a) Share, distribute, publish, or otherwise disclose access to any Restricted Pages without prior authorization;

(b) Attempt to access Restricted Pages through unauthorized means;

(c) Use Restricted Pages for any purpose other than that for which access was granted.

Access Philanthropy reserves the right, in its sole discretion, to restrict, suspend, or revoke access to any Restricted Pages at any time.

  1. User Submissions and Required Materials

The Site may permit or require you to submit information, documents, or other materials (“Submissions”) in connection with services provided by Access Philanthropy.

Such Submissions may include, without limitation:

  • Articles of Incorporation 
  • Board meeting minutes 
  • Financial records or budgets 
  • Organizational or operational information 

You represent and warrant that:

(a) All Submissions are accurate, complete, and not misleading;

(b) You have all necessary rights and authority to provide such Submissions;

(c) Your Submissions do not violate any applicable law or the rights of any third party.

You agree that Access Philanthropy may rely on the accuracy and completeness of your Submissions in providing services.

Access Philanthropy reserves the right to delay, suspend, or decline services if required Submissions are not provided or are deemed insufficient, incomplete, or inaccurate.

  1. Funder Database Access and Subscription Services

Access Philanthropy may provide Users with access to a proprietary or licensed funder database and related materials (the “Database Services”) on a subscription basis.

4.1 Account Registration and Access

In order to access the Database Services, you may be required to create an account and provide certain information.

You agree that:

(a) All registration information provided is accurate, current, and complete;

(b) You will maintain the confidentiality of your login credentials;

(c) You are solely responsible for all activity occurring under your account, whether authorized or not;

(d) You will notify Access Philanthropy immediately of any unauthorized use of your account.

Access Philanthropy reserves the right to suspend or terminate accounts at its discretion.

4.2 Subscription Terms

Access to the Database Services may require payment of subscription fees.

By purchasing a subscription, you agree that:

(a) You will pay all applicable fees as presented at the time of purchase;

(b) Subscription terms, including duration and renewal (if applicable), will be disclosed at the time of purchase;

(c) Access to the Database Services is limited to the subscription period unless otherwise stated.

Access Philanthropy reserves the right to modify pricing or subscription terms at any time, provided such changes do not apply retroactively to active subscriptions.

4.3 Permitted Use of Database Services

The Database Services and all related content (“Database Content”) are provided solely for your internal, non-commercial use in connection with your organization’s fundraising, research, and strategic planning activities.

You agree that you will not:

(a) Copy, reproduce, distribute, sell, sublicense, or otherwise make available the Database Content to any third party;

(b) Use the Database Content for resale, aggregation, or commercial exploitation;

(c) Share login credentials or otherwise permit access by unauthorized users;

(d) Use automated systems, including scraping tools, bots, or data extraction methods, to access or collect data from the Database Services;

(e) Create derivative databases or datasets based on the Database Content;

(f) Use the Database Services in any manner that competes with or undermines Access Philanthropy’s business.

4.4 Data Accuracy and No Warranty

Access Philanthropy does not guarantee the accuracy, completeness, or timeliness of any Database Content.

You acknowledge and agree that:

(a) The Database Services are provided for informational purposes only;

(b) You are solely responsible for verifying any information prior to reliance or use;

(c) Access Philanthropy shall not be liable for any decisions made based on Database Content.

4.5 License and Ownership

All Database Content is the property of Access Philanthropy or its licensors and is protected by applicable intellectual property laws.

Access Philanthropy grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Database Services in accordance with these Terms.

No ownership rights are transferred to you.

4.6 Suspension and Termination

Access Philanthropy reserves the right to suspend or terminate your access to the Database Services, without notice, if:

(a) You violate these Terms;

(b) Your use presents a risk to the security or integrity of the Database Services;

(c) Required fees are not paid.

  1. Use of Content

Access Philanthropy authorizes you, subject to these Terms, to access and use the content available on the Site, including but not limited to designs, text, graphics, images, video, data, information, logos, button icons, software, and other materials (collectively, the “Content”), solely for your personal, non-commercial use.

The Content is protected by copyright, trademark, and other applicable intellectual property laws and is the exclusive property of Access Philanthropy or its licensors.

You agree that you will not, directly or indirectly:

(a) Sell, license, distribute, reproduce, modify, publicly display, publicly perform, publish, adapt, create derivative works from, or otherwise use the Content for any commercial purpose without the prior written consent of Access Philanthropy;

(b) Use the Content in any manner that is likely to cause confusion among consumers, that disparages or discredits Access Philanthropy, or that dilutes the strength of Access Philanthropy’s intellectual property;

(c) Copy or adapt any underlying code used to generate or display the Site or its Content;

(d) Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or associated with the Content;

(e) Use the Content in connection with any product or service that is not affiliated with Access Philanthropy.

Any unauthorized use of the Content may violate applicable laws and is strictly prohibited.

  1. Acceptable Use

In addition to the foregoing, you agree that you will not:

(a) Transmit, post, or store any material that is unlawful, fraudulent, misleading, defamatory, or otherwise objectionable;

(b) Introduce viruses, malware, or other harmful code to the Site;

(c) Attempt to probe, scan, or test the vulnerability of the Site or any associated system;

(d) Engage in any conduct that could damage, disable, overburden, or impair the Site;

(e) Impersonate any person or entity or misrepresent your affiliation.

Access Philanthropy reserves the right to investigate and take appropriate action, including termination of access, in response to violations of this Section.

  1. 7. Third-Party Services and Integrations

The Site may utilize or integrate with third-party services, including but not limited to website hosting platforms, communication tools, and donation processing platforms (“Third-Party Services”).

You acknowledge and agree that:

(a) Access Philanthropy does not control or assume responsibility for Third-Party Services;

(b) Your use of any Third-Party Services is subject to the terms and policies of those providers;

(c) Access Philanthropy shall not be liable for any damages or losses arising from your use of Third-Party Services.

  1. Donations and Fiscal Sponsorship

The Site may include links to, or embedded forms for, donation processing in support of organizations participating in Access Philanthropy’s fiscal sponsorship programs.

You acknowledge and agree that:

(a) All donations made through the Site are processed via third-party payment platforms (including, but not limited to, Zeffy), but are received and held by Access Philanthropy as the fiscal sponsor;

(b) Access Philanthropy retains control and discretion over all donated funds in accordance with applicable laws and fiscal sponsorship requirements;

(c) Donated funds are allocated and disbursed by Access Philanthropy to supported organizations solely for approved charitable purposes and in accordance with internal policies and applicable regulations;

(d) Submission of a donation does not create any contractual relationship between the donor and any sponsored organization;

(e) Access Philanthropy makes no guarantees regarding the specific timing, use, or outcome of donated funds beyond its obligations as a fiscal sponsor;

(f) Donors are responsible for verifying any tax treatment, eligibility, or implications associated with their contributions.

Access Philanthropy reserves the right, in its sole discretion, to refuse, return, or reallocate any donation where required to comply with legal, regulatory, or organizational requirements.

  1. No Professional Advice.

The Content and materials available on the Site are provided for informational purposes only.

You acknowledge and agree that:

(a) The Site does not provide legal, financial, or professional advice;

(b) Use of the Site does not create a client, advisory, or fiduciary relationship;

(c) Any reliance on information obtained through the Site is at your own risk.

  1. Identification of Agent to receive notification and elements of notification of claimed copyright or trademark infringement.

  1. Disclaimer of Warranties

ACCESS PHILANTHROPY DOES NOT WARRANT THAT ANY ACCESS PHILANTHROPY SITE OR ANY ACCESS PHILANTHROPY SERVICES WILL OPERATE ERROR-FREE OR THAT ANY ACCESS PHILANTHROPY SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES, MALWARE, OR OTHER HARMFUL MECHANISMS OR COMPONENTS, OR THAT THE SITE WILL BE AVAILABLE WITHOUT INTERRUPTION. IF YOUR USE OF ANY ACCESS PHILANTHROPY SITE OR THE ACCESS PHILANTHROPY CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA OR ANY OTHER COSTS, ACCESS PHILANTHROPY IS NOT RESPONSIBLE FOR THOSE COSTS. THE ACCESS PHILANTHROPY SITES AND ACCESS PHILANTHROPY CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OR GUARANTEES OF ANY KIND. ACCESS PHILANTHROPY TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. ACCESS PHILANTHROPY MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE ACCESS PHILANTHROPY CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS. 

THIS SECTION APPLIES TO YOU TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW. 

 

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACCESS PHILANTHROPY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ACTUAL OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND GREATER THAN $100 OR THE AMOUNT YOU PAID TO ACCESS PHILANTHROPY INC. ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER ARISING FROM PERSONAL INJURY, FINANCIAL LOSS, DATA LOSS, OPPORTUNITY LOSS, THIRD-PARTY USE OR MISUSE, AGGREGATE SERVICE, PERSONAL DISSATISFACTION, OR ANY OTHER DAMAGE RESULTING FROM YOUR USE OF THE SITE.

IN NO EVENT SHALL ACCESS PHILANTHROPY’S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100). 

  1. Indemnity

You agree to defend, indemnify, and hold harmless Access Philanthropy and its affiliates, shareholders, officers, directors, employees, representatives, agents, assignors, and licensors from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees), lawsuits, disputes, claims, proceedings, and demands arising out of or related to:

(a) Your use of the Site;

(b) Your Submissions;

(c) Your violation of these Terms. 

  1. Links to Third-Party Sites.

The Access Philanthropy Sites contain links to third party websites. These links are provided solely as a convenience to You and not as an endorsement by Access Philanthropy of the contents on such third-party websites. Access Philanthropy is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third-party websites. If You decide to access linked third-party websites, You do so at Your own risk.

  1. No Resale or Unauthorized Commercial Use.

You agree not to resell or assign Your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of any Access Philanthropy Site.

  1. Governing Law and Disputes.

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Minnesota. 

YOU AGREE TO WAIVE ANY AND ALL RIGHTS TO A JURY TRIAL YOU MAY HAVE IN ANY AND ALL JUDICIAL PROCEDURES AND PROCEEDINGS RELATED TO ANY DISPUTE ARISING FROM YOUR USE OF THE SITE UNDER THESE TERMS.

ALL PARTIES WAIVE THEIR RIGHTS TO PRESENT CLAIMS IN A CLASS ACTION SUIT.

  1. General.

If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. In addition, Access Philanthropy’s failure to enforce any term of these Terms shall not be deemed as a waiver of such term or otherwise affect Access Philanthropy’s ability to enforce such term at any point in the future. Except as expressly provided in an additional agreement, additional Terms for certain areas of the Access Philanthropy Sites, a particular “Legal Notice,” or software license or material on particular pages on the Access Philanthropy Sites, these Terms constitute the entire agreement between You and Access Philanthropy with respect to the use of the Access Philanthropy Sites. No changes to these Terms shall be made except by a revised posting on this page.

Access Philanthropy makes no claims or representations that the Access Philanthropy Content may be lawfully viewed or accessed outside of the United States. Access to the Access Philanthropy Content may not be legal by certain persons or in certain countries. If You access any Access Philanthropy Site You do so at Your own risk and are responsible for compliance with the laws of Your jurisdiction. Any software downloaded from any Access Philanthropy Site is further subject to United States export control laws, and may not be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria or any other country to which the U.S. has embargoed goods or (ii) to any individual or entity on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders. By downloading or using such software, You represent and warrant that You are not located in, under the control of, or a national or resident of any such country, individual, or entity on any such list.

  1. Additional Terms.

Certain areas of the Access Philanthropy Sites are subject to additional Terms. By using such areas, or any part thereof, You agree to be bound by the additional Terms applicable to such areas.

  1. Changes to Terms

Access Philanthropy reserves the right to modify these Terms at any time.

Updated Terms will be effective upon posting to the Site. Your continued use of the Site constitutes acceptance of such changes.

  1. Mobile Services.

If You use the Access Philanthropy Sites through a mobile device, You agree that information about Your use of the Access Philanthropy Sites through Your mobile device and carrier may be communicated to us, including but not limited to Your mobile carrier, Your mobile device, or Your physical location. In addition, use of the Access Philanthropy Sites through a mobile device may cause data to be displayed on and through Your mobile device. By accessing the Access Philanthropy Sites using a mobile device, You represent that to the extent You import any of Your Access Philanthropy data to Your mobile device that You have authority to share the transferred data with Your mobile carrier or other access provider. In the event You change or deactivate Your mobile account, You must promptly update Your Access Philanthropy account information to ensure that Your messages are not sent to the person that acquires Your old number and failure to do so is Your responsibility. You acknowledge You are responsible for all charges and necessary permissions related to accessing the Access Philanthropy Sites through Your mobile access provider. Therefore, You should check with Your provider to find out if the Access Philanthropy Sites are available and the terms for these services for Your specific mobile devices. By using any downloadable application to enable Your use of the Access Philanthropy Sites, You are explicitly confirming Your acceptance of the terms of the End User License Agreement associated with the application provided at download or installation, or as may be updated from time to time.

As always, message and data rates may apply for any messages sent to us from You. If You have any questions about Your text plan or data plan, it is best to contact Your wireless provider.

  1. Term and Termination.

These Terms will remain in full force and effect while You are a User of any Access Philanthropy Site. Access Philanthropy reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of Your User Content from the Access Philanthropy Sites and immediate termination of Your registration with or ability to access the Access Philanthropy Sites and/or any other services provided to You by Access Philanthropy, upon any breach by You of these Terms or if Access Philanthropy is unable to verify or authenticate any information You submit to a Access Philanthropy Site registration. Even after You are no longer a User of the Access Philanthropy Sites, certain provisions of these Terms will remain in effect, including Sections 1, 4, 5, 10 through 20, inclusive.
